End User License Agreement (EULA)

1. Agreement to Terms

By downloading, installing, or using SummiChan ("the App"), you agree to be bound by this End User License Agreement ("EULA"). If you do not agree to these terms, do not install or use the App.

2. License Grant

Subject to your compliance with this EULA, SummiChan grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the App on devices you own or control
  • Use the App for personal or commercial purposes as permitted by your subscription plan
  • Access content and features available through the App

3. License Restrictions

You agree NOT to:

  • Copy, modify, adapt, translate, or create derivative works of the App
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code
  • Rent, lease, lend, sell, sublicense, or distribute the App
  • Remove, alter, or obscure any proprietary notices on the App
  • Use the App for any unlawful purpose or in violation of any applicable laws
  • Bypass, disable, or interfere with security features or usage limits
  • Use automated systems to access or use the App without authorization

4. Intellectual Property Rights

The App and all associated intellectual property rights are owned by SummiChan or its licensors. This EULA does not grant you any rights to:

  • SummiChan trademarks, logos, or service marks
  • Patents, copyrights, or trade secrets
  • The App's source code or underlying technology

5. Third-Party Services

The App integrates with third-party services including:

  • OpenAI: For AI-powered summarization
  • Google Fact Check API: For fact verification
  • Firebase: For cloud storage and authentication
  • YouTube API: For video content extraction

Your use of these services is subject to their respective terms of service and privacy policies.

6. Subscription and Payments

Free Plan: Limited features with usage caps

Pro Plan: Subscription-based with monthly or annual billing

  • Subscriptions automatically renew unless canceled before the renewal date
  • Refunds are subject to our refund policy and applicable laws
  • We reserve the right to change pricing with 30 days' notice
  • Payment processing is handled by third-party payment processors

7. User Content

When you submit content for summarization:

  • You retain ownership of your content
  • You grant us a license to process, store, and display your content as necessary to provide the service
  • We do not claim ownership of summaries generated from your content
  • You are responsible for ensuring you have rights to any content you submit
  • We may delete content in accordance with our data retention policies

8. Privacy and Data Protection

Your use of the App is subject to our Privacy Policy, which describes how we collect, use, and protect your data. By using the App, you consent to our data practices as described in the Privacy Policy.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Accuracy, reliability, or completeness of summaries or fact-checking results
  • Uninterrupted or error-free operation
  • Security or freedom from viruses or other harmful components

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUMMICHAN SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages resulting from your use or inability to use the App
  • Inaccuracies in summaries or fact-checking results
  • Unauthorized access to or alteration of your transmissions or data

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless SummiChan and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your violation of this EULA
  • Your violation of any rights of another party
  • Your use of the App
  • Content you submit to the App

12. Termination

This EULA is effective until terminated. We may terminate or suspend your access immediately, without prior notice, for any reason, including:

  • Breach of this EULA
  • Fraudulent or illegal activity
  • Non-payment of subscription fees

Upon termination:

  • Your license to use the App immediately ceases
  • You must stop using the App and delete all copies
  • We may delete your account and data
  • Provisions that by their nature should survive termination will continue to apply

13. Updates and Modifications

We reserve the right to:

  • Update or modify the App at any time without notice
  • Add or remove features
  • Change system requirements
  • Discontinue the App or any portion thereof

Updates may be required to continue using the App. Your continued use after updates constitutes acceptance of the updated version.

14. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not:

  • Located in a country subject to U.S. government embargo
  • Listed on any U.S. government list of prohibited or restricted parties

15. Governing Law and Dispute Resolution

Governing Law: This EULA is governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

Arbitration: Any disputes arising from this EULA shall be resolved through binding arbitration in accordance with [Arbitration Rules]. You waive any right to a jury trial or to participate in a class action.

Exceptions: Either party may seek equitable relief in court to protect intellectual property rights.

16. Changes to this EULA

We may update this EULA from time to time. We will notify you of material changes by:

  • Posting the updated EULA in the App
  • Sending an email notification
  • Displaying an in-app notice

Your continued use of the App after changes take effect constitutes acceptance of the revised EULA.

17. Severability

If any provision of this EULA is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

This EULA, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and SummiChan regarding the App and supersedes all prior agreements and understandings.

20. Acknowledgment
