1. Acceptance of Terms

By accessing or using SummiChan, you acknowledge that you have read, understood, and agree to be bound by:

Any additional terms applicable to specific features or services

These documents constitute the entire agreement between you and SummiChan.

2. Eligibility

To use SummiChan, you must:

Be at least 13 years old (or 16 in the EU)
Have the legal capacity to enter into a binding contract
Not be prohibited from using the Service under applicable laws
Provide accurate and complete registration information
Maintain the security of your account credentials

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

3.1 Account Creation

You must provide accurate, current, and complete information during registration
You must maintain and promptly update your account information
You may not create multiple accounts to circumvent usage limits
You may not share or transfer your account to others

3.2 Account Security

You are responsible for maintaining the confidentiality of your password
You are responsible for all activities that occur under your account
You must notify us immediately of any unauthorized access or security breach
We are not liable for any loss or damage from your failure to maintain account security

3.3 Account Termination

You may terminate your account at any time through the app settings. Upon termination:

Your subscription will be canceled (no refunds for partial periods)
Your data will be deleted according to our retention policy
You will lose access to all stored summaries and content

4. Service Plans and Subscriptions

4.1 Free Plan

Limited to 50 summaries per month
Basic content types (text, URL)
Limited Google Fact Check access
30-day summary retention
Firebase cloud sync and offline access

4.2 Pro Plan

Unlimited summaries
YouTube video summarization
Full Google Fact Check access
Unlimited summary retention
Priority processing
Advanced features and API access
Team collaboration features

4.3 Billing and Payments

Monthly Billing: $12/month, billed monthly
Annual Billing: $96/year ($8/month equivalent), billed annually
All payments are processed through secure third-party payment processors
Subscriptions automatically renew unless canceled
You must cancel at least 24 hours before the renewal date to avoid charges
Price changes will be communicated 30 days in advance

4.4 Free Trial

Pro plan includes a 7-day free trial for new users
You will be charged automatically after the trial period unless you cancel
One trial per user/payment method
We reserve the right to modify or discontinue trial offers

4.5 Refund Policy

Monthly subscriptions: Refunds available within 14 days of initial purchase
Annual subscriptions: Pro-rated refunds available within 30 days
No refunds for partial subscription periods after the refund window
Refunds for violations of these Terms may be denied
App store purchases are subject to the app store's refund policy

5. Acceptable Use Policy

5.1 Permitted Uses

You may use SummiChan for:

Personal content summarization and fact-checking
Business and commercial use in accordance with your subscription plan
Educational and research purposes
Content analysis and information gathering

5.2 Prohibited Uses

You agree NOT to:

Violate any laws, regulations, or third-party rights
Submit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
Infringe on copyrights, trademarks, or other intellectual property rights
Attempt to circumvent usage limits or access restrictions
Use automated systems (bots, scrapers) without authorization
Reverse engineer, decompile, or disassemble the Service
Interfere with or disrupt the Service or servers
Use the Service to generate spam, malware, or phishing content
Impersonate others or misrepresent your affiliation
Collect or store personal data of other users
Use the Service for any unauthorized commercial purpose
Share your account credentials with others

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of content you submit to the Service
You grant us a license to process, store, and display your content as necessary to provide the Service
You represent that you have rights to all content you submit
You are responsible for ensuring your content does not violate third-party rights

6.2 Generated Summaries

Summaries generated by SummiChan are derived from your submitted content
You retain ownership of summaries generated from your content
We may use anonymized summaries to improve our AI models
We do not claim copyright over summaries you generate

6.3 SummiChan's Intellectual Property

All rights, title, and interest in SummiChan, including but not limited to:

The app, website, and all content therein
Trademarks, logos, and service marks
Software, algorithms, and technology
Designs, graphics, and user interface

are owned by SummiChan or its licensors and protected by copyright, trademark, and other intellectual property laws.

6.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unlimited, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

7. Third-Party Services and Content

7.1 Third-Party Integrations

Our Service integrates with:

OpenAI: For AI summarization
Google Fact Check API: For fact verification
Firebase: For authentication and storage
YouTube API: For video content extraction

Your use of these services is subject to their respective terms of service.

7.2 Third-Party Content

We are not responsible for the accuracy, legality, or quality of third-party content
Fact-check results are provided by Google and third-party fact-checkers
We do not endorse or guarantee the accuracy of fact-check results
You should verify important information from multiple sources

8. Disclaimers and Limitations

8.1 Service "AS IS"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

Warranties of merchantability, fitness for a particular purpose, or non-infringement
Warranties regarding accuracy, reliability, or completeness of content
Warranties of uninterrupted or error-free operation
Warranties regarding the accuracy of AI-generated summaries
Warranties regarding the accuracy of fact-checking results

8.2 Accuracy of Summaries

AI-generated summaries may contain errors or inaccuracies
Summaries are for informational purposes only
You should verify critical information from original sources
We do not guarantee summaries will capture all important information

8.3 Fact-Checking Limitations

Fact-check results depend on third-party data and may be incomplete
Not all claims can be fact-checked
Fact-check results may become outdated as new information emerges
We are not responsible for errors in fact-check data

8.4 Service Availability

We do not guarantee uninterrupted or error-free service
We may suspend or terminate the Service for maintenance or updates
We may modify or discontinue features at any time
Third-party service outages may affect our Service

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUMMICHAN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, use, goodwill, or other intangible losses
Damages resulting from your use or inability to use the Service
Damages resulting from unauthorized access to your data
Damages resulting from reliance on summaries or fact-check results
Damages resulting from third-party services or content
Damages resulting from service interruptions or errors

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF:

The amount you paid to us in the 12 months preceding the claim, OR
$100 USD

10. Indemnification

You agree to indemnify, defend, and hold harmless SummiChan, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

Your violation of these Terms
Your violation of any applicable laws or regulations
Your violation of any third-party rights, including intellectual property rights
Content you submit to the Service
Your use or misuse of the Service
Your negligence or willful misconduct

11. Termination and Suspension

11.1 Termination by You

You may terminate your account at any time through app settings
Termination is effective immediately
No refunds for partial subscription periods after termination

11.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, for:

Violation of these Terms
Fraudulent or illegal activity
Non-payment of subscription fees
Abuse of the Service or other users
Security threats or vulnerabilities
At our sole discretion, with or without cause

11.3 Effect of Termination

Upon termination:

Your right to use the Service immediately ceases
Your data will be deleted according to our retention policy
You remain liable for any outstanding obligations
Provisions that by their nature should survive will continue to apply

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@summichan.com and attempt to resolve the dispute informally for at least 30 days.

12.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except:

You may assert claims in small claims court if they qualify
Either party may seek equitable relief to protect intellectual property rights

12.3 Class Action Waiver

15.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

15.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

15.6 Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, or technical failures.

17. Acknowledgment and Acceptance

If you do not agree to these Terms, you must not use our Service.
